By accessing, integrating, or utilizing Hermia's systems ("Service"), you ("Client") agree to be bound unconditionally by these Terms of Service. If you do not agree, you are unauthorized to use the Service. This agreement constitutes a legally binding software service contract between you and Hermia (ABN 75 434 177 026).
Hermia operates strictly as a Tier 0 automated backend data infrastructure and triage layer. The Service utilizes automated, template-driven SMS and WhatsApp logic gates to verify, filter, and structure existing incoming real estate inquiries and route that intelligence into the Client's active CRM software.
Hermia is not a lead generation platform, marketing agency, or public-facing advertisement provider. Hermia does not find, source, capture, or generate new leads, prospects, buyers, or tenants. The Client maintains sole operational and financial responsibility for running its own marketing assets and feeding inbound inquiry data streams into Hermia's technical infrastructure layer via secure webhooks.
The Service is restricted exclusively to corporate entities and licensed real estate brokerages or individual practitioners operating lawfully in Australia and the United Arab Emirates (UAE). By executing deployment, you represent and warrant that you hold active statutory real estate authority and are fully authorized to bind your agency to this agreement.
All financial handling is routed securely through enterprise payment processors. Initial environment configurations become non-refundable upon structural onboarding kickoff. Monthly recurring fees are non-refundable for the active billing block. Hermia reserves the right to adjust pricing with 30 days' electronic notice.
As a condition of using the platform infrastructure, the Client agrees to:
All structural workflow configurations, data filtering pathways, logic gates, hardcoded template structures, underlying code, and brand systems remain the exclusive, absolute intellectual property of Hermia. The Client receives a limited, revocable, non-transferable, non-assignable operating license to pass data streams through the architecture solely during an active paid subscription tier.
Hermia functions independently. Hermia is not officially affiliated with, sanctioned by, or partnered with any real estate listing portals, external CRM brand providers, global messaging applications, or web hosting architectures. All corporate trademarks, product symbols, and platform names visible in integrations belong entirely to their respective third-party owners.
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Hermia shall not be liable for any indirect, consequential, incidental, special, or punitive damages — explicitly including lost real estate commissions, unsecured property sales, loss of client brokerage revenue, listing cancellations, system latency, or inbound metric drops. Hermia's total combined liability for any dispute is strictly limited to fees paid by the Client in the three (3) months immediately preceding the legal claim.
The Client agrees to fully indemnify, defend, and hold harmless Hermia and its operational developers against any and all legal suits, monetary fines, regulatory judgments, or administrative actions resulting from: (a) Client failure to secure proper user opt-in consent; (b) violations of local real estate advertising laws; or (c) transactional friction or property value discrepancies arising between the Client and its prospects.
Either party may close the data processing tunnel by providing a 30-day electronic notice. Hermia retains the right to terminate access instantly if a breach of intellectual property or compliance logic occurs. Upon contract conclusion, lead processing pipelines are deactivated and all volatile transaction metadata logs are scrubbed from system memory blocks within 30 days.
These Terms are governed explicitly by the laws of the State of Victoria, Australia. Both parties irrevocably submit to the exclusive territorial jurisdiction of the courts located within Melbourne, Victoria, Australia for any litigation or resolution proceedings.
